Sales Terms

These General Conditions of Sale (GTC) govern the sales of Products or Services, made through the Company's websites, and are an integral part of the Contract between the Buyer and the Seller. They are fully opposable to the Buyer who accepted them before placing an order.

Product prices and discounts are set by the price schedule and by the specific clauses of contracts or agreements between the supplier and the buyer. SNDC reserves the right to revise the present pricing. Prices are for goods (ex-store) 31860 Labarthe-sur-Lèze, France.

The Company also ensures that their acceptance is clear and unreserved by setting up a checkbox and a validation click. The Customer declares to have read all of these General Conditions of Sale, and, where applicable, the Special Conditions of Sale related to a product or a service, and to accept them without restriction or reservation.

Technical features and improvements

Les produits vendus par SNDC ainsi que leurs parties et pièces détachées peuvent être modifiés en fonction d’améliorations techniques qui leur sont apportées, sans notification préalable ni changement de référence sur les tarifs, catalogues et barèmes de prix.

Livraisons

Delivery times provided for when ordering are only indicative. Any delays do not entitle the buyer to cancel the sale, refuse delivery and claim damages.

The products are packaged in such a way that they can withstand, without damage until the place of delivery, transport and handling carried out with the usual precautions. The goods shipped always travel at the risk and peril of the recipient, to whom it is up to in the event of damage, to make the necessary reservations with the delivery carrier. Any apparent defect deemed attributable to the manufacturer must be reported to SNDC management within eight days of receipt of the goods, by registered letter with acknowledgment of receipt. Exceptionally, returns of goods are only accepted after prior agreement from SNDC management. The goods must not be damaged or dismantled. Any return of merchandise not falling within the legal warranty will be subject to a reduction equal to the table of reduction rates applicable in the return conditions, any missing part will be invoiced at the current rate. The shipping costs relating to the initial shipment of the returned goods will not be reimbursed. Any defective or damaged merchandise will not be reimbursed.

Guarantee

The products are guaranteed for twelve months from the date of delivery.

The warranty covers the replacement or repair of parts that we recognize as defective after expertise by us.

The execution of the guarantee cannot have the effect of extending its initial duration. The warranty may in no case entail for SNDC a liability exceeding the selling price excluding VAT of the product in question, as invoiced.

The warranty does not cover damage to or premature wear of parts resulting from improper installation, abnormal use or under unexpected operating conditions. Routine maintenance such as additional refrigerant and normal wear and tear of certain components (belts for example) are excluded from the warranty as well as interventions carried out by installers not approved by SNDC.

Retention of title

Notwithstanding any stipulation to the contrary, by express agreement, the transfer of ownership of our products will only take place at the time of full payment of the agreed price, receivership and judicial liquidation of the buyer not being able to modify this clause, and this, in accordance with the law of 12 May 1980. However, the transfer of the risks incurred will be made during the delivery of the goods.

Terms of payment

For any customer with an account opened with SNDC, invoices are payable:
- either 30 days, end of month of invoicing, by draft without acceptance
- or cash on order before delivery

Any default in payment entails the immediate and automatic liability of the sums remaining due, without the SNDC having to complete any formality or prior notice *.

Any delay in payment will automatically give rise to the payment of late payment penalties on the basis of the ECB rate plus ten (10) points and the payment of a lump sum indemnity. for recovery costs in the amount of 40 Euros.

Shipment

Shipments are the responsibility of the buyer.

Protection of personal data

In accordance with Regulation 2016/679 of April 27, 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data, the seller sets up a processing of personal data which has for purpose the sale and delivery of products and services defined in this contract.

We will only process or use your data insofar as this is necessary for the processing of your requests.

Your personal information is kept for a period which may not exceed three years from the date of the last contact, unless a longer retention period is authorized or imposed by virtue of a contractual, legal or regulatory obligation.

During this period, we put in place all appropriate means to ensure the confidentiality and security of your personal data, so as to prevent their damage, erasure or access by unauthorized third parties.

You can exercise your right to delete data concerning you, oppose the processing of data concerning you and have the right to withdraw your consent at any time by contacting [email protected]

Access to your personal data is strictly limited to our administrative staff, employees and agents.

Apart from the cases set out above, we undertake not to sell, rent, transfer or give access to third parties to your data without your prior consent, unless we are forced to do so for a legitimate reason (obligation legal, fight against fraud or abuse, etc.).

You have the possibility to lodge a complaint with a supervisory authority.

Jurisdiction

In the event of a dispute or dispute, whatever its nature, only the Commercial Court and the Toulouse District Court have jurisdiction.

* Spare parts will not be taken back or exchanged. In the event that full payment is not made on the date scheduled by both parties, a rate of 10% interest on late penalties will be applied in accordance with the law.
